1. Purpose of the Partnership

This document constitutes a membership contract between the platform vod.berazli.com (hereinafter “the Platform”) and the Teacher (hereinafter “the Professional User”) registering their educational content on the website. The Platform acts as a host and technical distributor of video-on-demand (VOD) content.

2. Intellectual Property and Copyright

Retention of Rights: The Teacher remains the exclusive and sole owner of all the content (videos, PDF files, quizzes, exercises) they upload to the Platform.Distribution License: The Teacher grants the Platform a non-exclusive, worldwide, and free license to store, encode, display, and distribute their content to students who have legitimately purchased access.Content Guarantee: The Teacher certifies that they are the original author of their courses or possess all necessary permissions for any third-party elements used (images, music, excerpts). The Platform disclaims any liability in the event of copyright infringement by a teacher.

3. Economic Model and Split (75/25)

Sales Sharing: On each net sale of a course (calculated in Algerian Dinars DZD), the breakdown is fixed as follows:75% rightfully belongs to the Teacher.25% is retained by the Platform to cover server costs, technical maintenance, anti-piracy security, marketing, and transaction fees from the payment gateway (Chargily Pay).

4. Qualification and Earnings Payout Conditions

To guarantee the seriousness of partnerships and the financial stability of the system, the earnings accumulated on the Teacher’s dashboard become eligible for withdrawal only when both of the following conditions are validated (Qualification Threshold):Minimum Audience: The Teacher’s catalog must record a minimum of 100 unique subscribers (students who have purchased at least one of their courses).Financial Threshold: The accumulated and available balance of sales must reach a minimum of 37,500 DZD.Once this first qualification threshold is validated, the Teacher can request the payout of their accumulated earnings. Funds transfers are executed by the Platform to the Teacher’s account via CCP transfer or through the BaridiMob application.

5. Commitments and Content Quality

The Teacher agrees to:Provide courses that comply with official school curriculums or the descriptions displayed on their profile.Ensure professional technical quality (sharp image, acceptable minimum resolution, clear and perfectly audible sound).Not use their space to advertise competing third-party services or entice students to pay them outside the Platform (circumvention of commission).

6. Protection and Anti-Piracy Security

The Platform agrees to implement security measures to limit the piracy of content as much as possible (blocking direct downloading, detecting account sharing, restrictions on screen recording). However, as zero risk does not exist on the Internet, the Platform provides an obligation of means and not of absolute result against advanced piracy techniques.

7. Termination and Content Withdrawal

This contract is without any duration commitment. The Teacher can request the deletion of their courses or the closure of their account at any time.A 30-day notice period is required before the effective removal of videos. This period allows the Platform to respect its commitment to students who have paid for permanent access to this teacher’s courses, so they can complete their ongoing learning.In the event of an early withdrawal of a course by the Teacher without respecting the required notice period, the Platform reserves the right to use any remaining funds on the Teacher’s balance to finance compensations (such as 100% discount coupons or alternative access) owed to the impacted students.

8. Modification of Partnership Terms

The Platform reserves the right to modify the terms of this contract at any time to adapt to technical, legal, or economic developments.Notification: Any major modification will be notified to the “Professional User” by email or via a notice on their dashboard with a notice period of at least 30 days.Acceptance: Continued use of the platform and keeping courses online after this notice period constitutes tacit acceptance of the new partnership terms.
